Charter Wins $34.5 Billion Cox Takeover
California regulators approve deal with conditions, including $30 million digital inclusion investment and affordable broadband for low-income customers

The California Public Utilities Commission has unanimously approved Charter Communications' acquisition of Cox Communications, valued at $34.5 billion, clearing the final regulatory hurdle for the deal. The commission's decision comes after an extensive public review process and incorporates two settlement agreements negotiated with the Public Advocates Office and the California Emerging Technology Fund.
As part of the conditions imposed by California, Charter committed to investing $30 million in digital inclusion initiatives, including broadband adoption, digital literacy training, and device access for underserved communities. The company also agreed to invest at least $275 million to upgrade its California network, completing symmetrical one-gigabit service capability across legacy service areas within three years.
Charter further committed to providing affordable broadband plans to low-income customers for five years, as well as offering free broadband and Wi-Fi service for 50 eligible community anchor institutions, such as schools, libraries, and community centers. The combined company will operate under the Cox Communications name within a year and will have roughly 37 million subscribers, with Charter contributing 31 million and Cox contributing six million.
