Enovis has entered a binding offer to acquire eCential Robotics, a developer of surgical robotics technology, for an enterprise value of €155 million. The acquisition includes up to €35 million in milestone payments, bringing the total potential value to €190 million.

The deal is expected to close by the end of 2026, subject to customary regulatory approvals. Enovis plans to finance the acquisition through cash on hand and available capacity under its revolving credit facility.

The acquisition will expand Enovis' ASTRA ecosystem into robotics, a key area of growth for the company. Enovis expects the deal to temporarily dilute adjusted EBITDA margins by roughly 100 basis points in 2027. However, the company still targets at least $100 million in free cash flow next year.

Enovis also plans to launch a next-generation platform for total knee procedures within two years, further expanding its offerings in the surgical robotics space.

## Why it matters The acquisition of eCential Robotics marks a significant expansion of Enovis' capabilities in the surgical robotics market. The deal will enable Enovis to offer a more comprehensive range of solutions to its customers, and will help to drive growth and innovation in the company's ASTRA ecosystem. As the demand for surgical robotics technology continues to grow, the acquisition of eCential Robotics positions Enovis for success in this key market.

## What happens next The deal is expected to close by the end of 2026, pending regulatory approvals. Once the acquisition is complete, Enovis will begin to integrate eCential Robotics' technology and expertise into its ASTRA ecosystem. The company will also focus on launching its next-generation platform for total knee procedures, and will continue to target at least $100 million in free cash flow next year.
